Business Background

Sapura Energy Bhd is an integrated oil and gas services and solutions provider. It is engaged in the exploration, development, production, rejuvenation, as well as decommissioning and abandonment stages of the value chain. Its Operating segments are Engineering and Construction, Drilling, Energy and Corporate. Activities carried by the Engineering and Construction business segment are installation of offshore platforms, marine pipelines and subsea services, engineering, procurement, construction and commissioning services and repairs and refurbishment of industrial gas turbines, supply, installation, commissioning and maintenance of point-of sale systems for petrol stations and asset management services for offshore installations.

Sslee In the latest restructuring plan unveiled last Wednesday, Sapura Energy wants to convert bank borrowings of RM2.74 billion into equity and redeemable convertible unsecured Islamic debt securities (RCUIDS).

An amount of RM1.69 billion that it owes banks will be converted into RCUIDS at RM1.20 each, while another lump sum of RM1.05 billion in bank borrowings will be converted into Sapura Energy shares at 80 sen each (price after a proposed share consolidation and capital reduction). In addition, banks will take a haircut of RM750 million.

Meanwhile, Sapura Energy will pay off about RM1 billion that it owes vendors with the RM1.1 billion that MoF is injecting into the company.

For its RM1.1 billion injection, MoF will be issued redeemable convertible loan stocks (RCLS), which will be priced at 48 sen apiece, as opposed to Sapura Energy’s pro forma share price of 90 sen (after the 20-to-one share consolidation exercise based on the market price of 4.5 sen).

The RCLS carry a coupon of 2% to 4%, much lower than the 4.85% to 8.65% interest rate incurred by the company, according to its filing with Bursa Malaysia on May 14.

Mabel Sapura Energy Berhad (SAPNRG) has had fluctuating financial results in its previous quarterly reports. Here are some highlights:

Mabel KUALA LUMPUR: AirAsia owner Capital A Bhd returned to the black with a net profit of RM689.57 million in the first quarter ended March 31, from a net loss of RM91.55 million a year ago. The carrier posted an earnings per share of 15.9 sen in 1QFY2025 compared with a loss per share of 2.2 sen in 1QFY2024.

Revenue for the quarter rose 15.2% to RM414.52 million in 1QFY2025 from RM359.76 million in 1QFY2024, driven by growth from its logistics, MRO services, and digital businesses. No dividend was declared during the current quarter. The last dividend declared by Capital A was 90 sen per share for FY2019.

The group had planned to exit its Practice Note 17 status by May after receiving approval from shareholders and the High Court on its regularisation plan.

Haha, Poor Dicky for missing FGV too…

While Cycle & Carriage (Singapore) and YTL made generous offers to Mabel when they privatized Cycle & Carriage (Malaysia) and La Farge (Malaysia), FGV—once trading at RM4.55 in 2012 (Malaysia’s second-biggest IPO after Facebook)—also aimed for privatization, offering only RM1.30 per share.

Anticipating this move, Mabel sold FGV at RM2, knowing it deserved a much higher valuation. Eventually, FELDA and its related parties ended up holding more than 85% of FGV after launching a takeover in December 2020 at RM1.30 per share. The offer ended in March 2021, and since then, the company has extended its deadline six times to fulfill the required public shareholding spread.

With just 3.07% of shares still outstanding—equivalent to 111 million shares—the company is on the brink of full privatization. If this is the ultimate goal, they should act honorably and offer genuine investors a fair price based on the company’s assets. Suppressing the share price simply to hold more than 80% ownership is unfair and disappointing.

Honestly, I feel bad for those who remain, still believing in this incompetent company.

HOUSTON, June 13 (Reuters) - Oil prices jumped on Friday and settled 7% higher as Israel and Iran traded air strikes, feeding investor worries that the combat could widely disrupt oil exports from the Middle East.
Brent crude futures settled at $74.23 a barrel, up $4.87, or 7.02%, after earlier soaring over 13% to an intraday high of $78.50, the strongest level since January 27. Brent was 12.5% higher than a week ago.
